CONSULTANCY SERVICE CONTRACT

THIS AGREEMENT is made the day and year of its execution by the Parties, between

EasyApply Consult ( Registration Number 8539272) of number 2151 Peace Avenue, Lokogoma, Abuja, F.C.T, Nigeria (hereinafter referred to as “EasyApply”), of the one part;

AND

The Student whose name and address appears on the executed copy of this Agreement (hereinafter referred to as the “Client”), of the other part.

WHEREAS

  1.  EasyApply engages in the business of providing consultancy services for securing admission into universities/colleges within EasyApply’s covered countries and partner institutions (the “Services”).
  2. The Client desires to obtain admission to a suitable institution and requires EasyApply’s Services.
  3. Both parties agree to enter into this Agreement on the terms set out below.
NOW THE PARTIES HEREBY AGREE AS FOLLOWS:

1. EASYAPPLY ’S RESPONSIBILITIES

  • EasyApply shall use reasonable efforts to secure admission offers from suitable and affordable universities/colleges within EasyApply’s partner network of schools.
  • EasyApply shall manage the Client’s admission application process to the selected institution(s). .
  • EasyApply shall assist the Client in completing application forms and providing required documentation for the admission process.
  • EasyApply shall submit completed applications and supporting documents to the relevant institution(s).
  • EasyApply shall correspond with the institution(s) on behalf of the Client until
    an admission decision is communicated.
  • EasyApply shall deliver to the Client all admission letters, forms, and related documents received in the Client’s name.
  • EasyApply shall provide visa guidance and supervision of the Client’s visa application process, provided that the Client remains solely responsible for the outcome.
  • In the event of visa denial, EasyApply may assist the Client with deferring admission, subject to the institution’s policies and acceptance of such request.
  • In the event of visa denial, EasyApply shall provide guidance for reapplication at no additional consultancy cost; however, all embassy fees, institutional fees, and related expenses shall remain the Client’s responsibility.

2. CLIENT RESPONSIBILITIES

  • The Client shall complete, execute, and submit to EasyApply all required forms, including but not limited to the Onboarding Form,
    Declaration/Authorization Form, and Questionnaires, authorizing EasyApply to act on their behalf in the application process.
  • The Client shall, at their own expense, fulfill any requirements for English Proficiency Language Tests (where applicable) and provide the results to EasyApply before the deadline(s) of the selected institution(s).
  • The Client shall, at their own expense, arrange for the payment of all institutional fees (in the manner and currency requested by the institution) relating to the application process.
  • The client shall be responsible for paying EasyApply all service fees as agreed by the parties with respect to their services and as stated on their invoice. The application process will commence once EasyApply confirms receipt of the service fees and all required documents.
  • EasyApply shall not be responsible for admission denial where the Client fails to provide any required document(s).

Required Documents:

  1. Degree Certificate (or statement of result)
  2. Academic Transcript
  3. WAEC/NECO Certificate
  4. WAEC/NECO Transcript
  5. International Passport (EasyApply may connect the Client with its partner to facilitate obtaining a passport once the Client becomes a paid client)
  6. Academic Letter of Reference (LOR)
  7. Work Letter of Reference (LOR)
  8. English Test requirements or Medium of Instruction Letter (MOI)
  9. Affidavit of Change of Name (where applicable)
  • The Client shall promptly provide any further documents or information requested by EasyApply for the completion of the application and as requested by the institution(s).
  • The Client shall route all matters regarding admissions to the institution(s) exclusively through EasyApply.
  • Upon receipt of the Admission Letter or Offer of Admission from EasyApply, the Client may work with EasyApply to make necessary arrangements for visa application.
  • The Client shall be solely responsible for their visa application and all associated fees, while EasyApply provides guidance and supervision.

3. DISCLAIMER

  •  The Client shall not directly correspond with institution(s) regarding admissions. Any such action constitutes a violation of this Agreement, and EasyApply shall bear no responsibility for any adverse outcomes, including denial or rejection of admission.
  • EasyApply shall not be liable for admission denial where the Client provides false, forged, or misleading documents; or the Client fails to provide required documents or information on time; or the Client otherwise breaches this Agreement.
  • EasyApply shall not be liable for visa rejection where the reason for denial includes but is not limited to submission of false or fraudulent documents by the Client; delays, withdrawals, or non-compliance by the Client; or discretionary decisions of embassies or visa-issuing authorities.
  • The Client acknowledges that the final decision to grant admission rests solely with the respective institution(s). Though EasyApply guarantees 95% success rate on admission offers, EasyApply will not be held liable for delays in admission decisions but will make reasonable efforts to follow up with institutions to facilitate timely outcomes.
  • The Client acknowledges that the final decision to grant a visa rests solely with the embassy or competent immigration authority. EasyApply cannot guarantee visa approval and shall not be liable for any denial, delay, or related consequences. EasyApply’s role is limited to guidance and advisory support only.
  • If an admission denial occurs solely due to an error or omission by EasyApply,
    EasyApply shall, at no additional cost to the Client, submit an additional application to another institution within its partner network of schools on behalf of the Client.
  • Application and admission processing may be delayed due to factors beyond EasyApply’s control, including delays in the Client’s provision of documents, program availability, or the institution’s internal timelines. EasyApply shall not be liable for such delays.
  • Consultancy Service : As consideration for services rendered by EasyApply, the Client shall pay EasyApply the consultancy service fees as invoiced, as follows:

4. PAYMENT TERMS

  • Consultancy Service : As consideration for services rendered by EasyApply, the Client shall pay EasyApply the consultancy service fees as invoiced, as follows:
  1. Individual Package : For an Undergraduate or Postgraduate program in any EasyApply partner institution(s), the Client shall pay the sum of ₦1,100,000 (One Million, One Hundred Thousand Naira Only) as consultancy service fees, and shall be invoiced accordingly.
  2. Family Package : Where the Client intends to travel with dependants, an additional consultancy service fee shall apply for each accompanying family member. The Client shall pay an additional sum of ₦550,000 (Five Hundred and Fifty Thousand Naira Only) for each additional dependant included in the application. This family package fee shall be payable in addition to the applicable individual package fee (i.e undergraduate or postgraduate) stated above and shall be invoiced accordingly.
  •  Invoicing : EasyApply shall issue an invoice to the Client for the consultancy service fees (Individual or Family Package), including visa-only service fees and any applicable optional/additional service fees, upon confirmation of the Client’s intention to proceed with the application. The Client shall make payment within the period stated on the invoice. All invoices shall be deemed accurate and binding unless the Client raises a written dispute within five (5) business days of receipt. Payments shall be made to the account specified on
    the invoice or as otherwise agreed between EasyApply and the Client.
  • Optional/Additional Services : EasyApply may, at the Client’s request, provide optional or additional services not included in the standard consultancy or visa service packages. Applicable fees shall be communicated at the time of request, may vary based on the nature of the service and third-party charges, and shall be payable in accordance with this Agreement. All fees paid for optional or additional services are strictly non-refundable, as such services involve third-party institutions and service providers outside the control of EasyApply. No refund shall be granted once the service has been initiated, regardless of outcome, delay, rejection, or withdrawal by the Client.
  1. GIC Account Services : Where the Client requests assistance with opening or securing a Guaranteed Investment Certificate (GIC) account for Canadian study permit or visa purposes, an additional service fee shall apply. The applicable fee shall be communicated to the Client at the time of request, based on the prevailing charges of the relevant financial institution or third-party service provider. EasyApply shall not be responsible for delays, rejections, or changes arising from the policies or requirements of such third parties.
  2. Blocked Account Services : Where the Client requests assistance in securing a blocked account for German study permit or visa purposes, an additional fee shall apply, as communicated at the time of request, based on the current charges of the relevant third-party service provider.
  3. English Proficiency Test Services : Where the Client requests assistance with English Proficiency Test registration or training, EasyApply shall communicate the applicable fee at the time of request, based on the current charges of the relevant third-party service provider.
  4. Proof of Funds (PoF) Services : Where the Client requests assistance with Proof of Funds (POF) services, including documentation support, guidance, or facilitation required for
    admission or visa purposes, an additional service fee shall apply. The applicable fee shall be communicated to the Client at the time of request, based on the scope of services required and any applicable third-party charges. EasyApply does not guarantee approval or acceptance of any Proof of Funds documentation by educational institutions, embassies, or mmigration authorities.
  5. Accommodation Services : Where the Client requests assistance with securing accommodation (off-campus), an additional fee shall apply, as communicated at the time of request, based on the current charges of the relevant third-party service provider.
  • Visa Services (Visa-Only) : Where the Client requests visa advisory and processing services only, separate from any admission or consultancy services, the Client shall pay a fixed service fee of ₦650,000 (Six Hundred and Fifty housand Naira Only) for the principal applicant only. Additional fees shall apply where the applicant is traveling with dependants, and such fees shall be communicated by EasyApply at the time of request.
  1. This fee shall cover visa-related guidance, documentation support, and application assistance as determined by EasyApply.
  2. For the avoidance of doubt, the visa service fee does not include embassy fees, biometric fees, medical examination fees, courier charges, or any other third-party costs, all of which shall remain the sole responsibility of the Client. EasyApply does not guarantee visa approval, as final decisions rest solely with the relevant embassy or immigration authority.
  3. Notwithstanding any other provision of this Agreement, all fees paid for Visa-Only Services shall be strictly non-refundable once the visa application process has commenced, regardless of the outcome of the visa application, including refusal, delay, or withdrawal by the Client.
  • Instalment Payments : Clients may opt for installation payment, limited to two (2) installments only:
  1. i. 80% of the total consultancy fee upon engagement, and the outstanding and
  2. 20% within three (3) weeks of the first installation or upon the issuance of the admission offer, whichever occurs earlier.
  • Payment Method : All payments shall be made through mobile or internet transfer, or by cheque in favor of EasyApply Consult. Payments by cheque are subject to clearance and realization. Payments shall be deemed received only upon confirmation by EasyApply’s accounts.
  • Third-Party Fees : All other fees associated with the application process (including but not limited to admission application fees, visa fees, tuition fees, ticketing, and other related expenses) shall be the sole responsibility of the Client. EasyApply shall not be liable for any changes in such third-party fees, timelines, or outcomes. Upon making any payment, the Client shall send proof of payment (e.g., screenshot of transfer slip) to easyapplyc@gmail.com for confirmation.
  •  Refunds : The Client shall be entitled to a refund only if deemed appropriate by EasyApply. Any such refund will be limited to the consultancy fees paid by the Client for the specific package, less a thirty percent (30%) administrative fee and any other costs already incurred by EasyApply in connection with the Client’s application process.
  1. Upon approval of a refund request, EasyApply shall use commercially reasonable efforts to process the refund within thirty (30) days from the date of approval. The method and form of such refund shall remain at the sole discretion of EasyApply.
  2. EasyApply shall not be obligated to provide any refund where the Client voluntarily withdraws from the application process after the application has been submitted to the relevant institutions by EasyApply.
  • Limitation of Liability : The total liability of EasyApply for any claims arising out of or relating to this Agreement shall be strictly limited to the provisions stated in Section 8 (Limitation of Liability) of this Agreement.

5. CONFIDENTIALITY AND NON-DISCLOSURE

  • Each Party (“Receiving Party”) acknowledges that, during this Agreement, it may have access to confidential, proprietary, or sensitive information of the other Party (“Disclosing Party”), including but not limited to academic records, financial information, application strategies, business processes, documentation, and other non-public information (“Confidential Information”).
  • The Receiving Party agrees to hold all confidential information in strict confidence and not to disclose, reproduce, copy, disseminate, or use such confidential information for any purpose other than the performance of this Agreement, without the prior written consent of the Disclosing Party.
  • The Receiving Party shall take reasonable precautions, no less stringent than those it applies to its own confidential information, to prevent unauthorized use, access, or disclosure of the Disclosing Party’s confidential Information.
  • If the Receiving Party is legally required to disclose Confidential Information pursuant to a valid court order, subpoena, or similar legal request, it shall promptly notify the Disclosing Party (unless prohibited by law) and disclose only the minimum information legally required, while cooperating to allow the Disclosing Party to seek protective relief.
  • Upon termination or expiration of this Agreement, or upon written request by the Disclosing Party, the Receiving Party shall promptly return or securely destroy all confidential information in its possession or control and, if requested, provide written certification of such destruction.
  • The obligations under this Section shall survive the termination or expiration of this Agreement for a period of five (5) years , or indefinitely with respect to trade secrets and personal data.

6. REPRESENTATIONS AND WARRANTIES

Each Party hereby represents and warrants that:

  • They are legally competent and duly authorized to enter and perform their obligations under this Agreement. Where the Client is a minor, the Client’s parent or legal guardian represents and warrants that they are fully authorized to enter into this Agreement on behalf of the minor and that all necessary authorizations have been obtained.
  • The execution, delivery, and performance of this Agreement do not and will not conflict with or result in a breach of any other agreement, obligation, or restriction to which either Party is subject.
  • The Client represents and warrants that all information, documents, and materials provided to EasyApply are true, accurate, complete, and authentic to the best of their knowledge, and that the Client shall not knowingly or negligently provide any false, misleading, or fraudulent information or documents.
  • The Client further represents that all information provided shall remain accurate and up to date, and the Client shall promptly notify EasyApply of any material changes or inaccuracies.
  • Both Parties acknowledge that they have read and fully understood the terms of this Agreement and agree to be legally bound by its provisions.

7. INDEMNITY AND HOLDHARMLESS

  • The Client agrees to indemnify, defend, and hold harmless EasyApply, its directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or relating to:
  1. the Client’s breach of this Agreement.
  2. the Client’s submission of false, inaccurate, incomplete, or unlawful information or documents; or
  3. the Client’s failure to provide timely and accurate information or assistance reasonably requested by EasyApply.
  • The Client acknowledges and agrees that EasyApply shall not be responsible for the authenticity, accuracy, or legality of any documents or information provided by the Client for the purposes of admission, visa processing, or any related services.
  • The Client shall bear sole responsibility for any loss, damage, or expense, including but not limited to admission denial or visa rejection, arising from the Client’s submission of non-genuine, inaccurate, or incomplete documents or information.
  • The Client undertakes to provide prompt, genuine, and accurate information and assistance as reasonably requested by EasyApply in connection with the services under this Agreement.
  • This indemnity and hold harmless provision shall survive the termination or expiration of this Agreement. 

8. LIMITATION OF LIABILITY

  • The total liability of EasyApply to the Client for any claims, damages, or losses arising out of or relating to this Agreement, whether in contract, tort, or otherwise, shall in no event exceed an amount equal to the service fee actually paid by the Client to EasyApply under this Agreement, less thirty percent (30%) administrative fees and any other costs already incurred by EasyApply in connection with the Client’s application process.
  • In no event shall EasyApply be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of opportunity, loss of anticipated admission, or visa denial, even if EasyApply has been advised of the possibility of such damages.
  • EasyApply shall not be held responsible for any delays or failures in admission or visa processing caused by third parties, including but not limited to educational institutions, embassies or country immigration authorities and other government bodies.
  • This limitation of liability shall apply notwithstanding the failure of any agreed or other remedy of its essential purpose.

9. TERMINATION

This Agreement shall become effective upon execution by both Parties and shall remain in force for a period of 12 months, unless terminated in accordance with the provisions below:

By EasyApply:

  • Non-Payment of Fees – If the Client fails to make payments for the services rendered as per the agreed terms.
  • False or Misleading Information – If the Client provides false, fraudulent, or misleading information that jeopardizes or may jeopardize the admission or visa process.
  • Breach of Agreement – If the Client materially breaches any of the provisions of this Agreement and fails to cure such breach within seven (7) days of receiving written notice from EasyApply.
  • Eligibility Changes – If the Client’s eligibility for the intended program changes, making it impractical or impossible for EasyApply to continue services. 

By the Client:

  • Breach of Agreement – If EasyApply materially breaches any of the terms of this Agreement and fails to cure such breach within seven (7) days of receiving written notice from the Client.
  • Unlawful Practices – If EasyApply engages in practices that are illegal or in violation of applicable laws or regulations.
  • Breach of Confidentiality – If EasyApply breaches confidentiality obligations by disclosing the Client’s personal information without consent, except as required by law.

10. ASSIGNMENT AND SUCCESSION

  • The Client shall not assign, transfer, or delegate this Agreement, whether in whole or in part, to any third party without the prior written consent of EasyApply. Any attempted assignment or transfer in violation of this Section shall be null and void.
  • EasyApply may assign or transfer its rights and obligations under this Agreement to its affiliates, successors, or in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets, provided that such successor assumes EasyApply’s obligations hereunder.
  • This Agreement shall be binding upon, and shall insure to the benefit of, the Parties and their respective permitted successors and assigns.

11. DISPUTE RESOLUTION

  • Negotiation: All disputes arising from or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties, either personally or through their authorized representatives, within fourteen (14) days of written notice of the dispute.
  • Mediation: If the dispute is not resolved through negotiation within the stated period, the Parties shall refer the matter to mediation to be conducted in accordance with recognized mediation practices in Nigeria, administered by a mutually agreed mediator.
  • Arbitration: If mediation fails to resolve the dispute within thirty (30) days, the matter shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, Cap A18 Laws of the Federation of Nigeria 1990 (or any statutory modification or re-enactment thereof). The arbitration shall be conducted by a single arbitrator agreed upon by the Parties, or in default of agreement, appointed by the President of the Chartered Institute of Arbitrators, Nigeria Branch.
  • Costs: The costs of arbitration shall be shared equally by the Parties, unless otherwise determined by the arbitrator. Each Party shall bear its own legal and associated costs.
  • Finality: The decision of the arbitrator shall be final and binding on both Parties.
  • Governing Seat & Language: The seat of arbitration shall be Abuja, Nigeria, and the proceedings shall be conducted in English.

12. GOVERNING LAW

This Agreement shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria. Any dispute resolution proceedings under this Agreement, including negotiation, mediation, or arbitration as set out in Section 11, shall be conducted subject to such laws.

13. FORCE MAJEURE

  • EasyApply shall not be responsible or liable for any delay, interruption, or failure to perform any of its obligations under this Agreement (other than the Client’s obligation to make payments) if such delay, interruption, or failure results directly or indirectly from causes beyond EasyApply’s reasonable control. Such causes include, but are not limited to, acts of God, war, riot, insurrection, strikes, lockouts, embargoes, acts of civil or military authorities, fires, floods, explosions, accidents, pandemics, government restrictions, or the actions or inactions of partner institutions, embassies, or immigration authorities
  • In the event of a Force Majeure occurrence:
  1. EasyApply shall promptly notify the Client in writing of the nature and expected duration of the event.
  2. EasyApply’s obligations shall be suspended for the duration of the delay caused by the Force Majeure event.
  3. If the Force Majeure event continues for more than ninety (90) consecutive days, either Party may terminate this Agreement by giving written notice to the other Party. Such termination shall not entitle the Client to any refund.

14. AMENDMENTS

  • EasyApply may from time to time amend or modify the terms of this Agreement. Any such amendments shall be published on EasyApply’s official website and, where practicable, notified to the Client via the email address provided by the Client at the time of engagement.
  • No amendment shall take effect until at least fourteen (14) days after publication of the notice on EasyApply’s website, unless otherwise required by law or regulation.
  • Any amendment shall apply prospectively only and shall not affect the rights or obligations of either Party with respect to services already rendered, payments already made, or obligations accrued prior to the effective date of such amendment.

15. NOTICES

  • Any notices or other communications required or permitted under this Agreement shall be in writing and shall be deemed duly given if delivered in person, sent by registered or certified mail (return receipt requested), by nationally recognized overnight courier service, or by email (with acknowledgment of receipt). Notices shall be addressed as follows, or to such other address as either Party may designate by notice to the other Party:
  • For a notice sent by email to be valid and effective, the sender must receive acknowledgment of receipt from the recipient, either by reply email (direct or automatic) or other written confirmation.
  • Notices shall be deemed effective as follows:
  1. On the date of delivery, if delivered personally or by email with acknowledgment.
  2. Three (3) business days after deposit with a nationally recognized courier service, postage or delivery charges prepaid.
  3. Seven (7) business days after deposit in the mail, if sent by registered or certified post.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable under any applicable law, such provision shall be deemed modified to the extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be deemed severed from this Agreement, and the remaining provisions shall continue in full force and effect without being affected or invalidated in any way.

17. INTERPRETATION

  • The Client acknowledges and agrees that they have had sufficient time and opportunity to review this Agreement, either personally or with the assistance of independent legal counsel, prior to execution.
  • The headings in this Agreement are for convenience only and shall not affect the meaning or interpretation of any provision. Defined terms shall apply equally to both the singular and plural forms. Whenever the context requires, pronouns shall include the masculine, feminine, and neuter forms.

18. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between EasyApply and the Client with respect to the subject matter hereof and supersedes all prior or contemporaneous discussions, negotiations, representations, warranties, or agreements, whether written or oral, relating to such subject matter. No amendment, modification, or waiver of any provision of this Agreement shall be valid unless made in accordance with Section 14 (Amendments). 

19. COUNTERPARTS AND ELECTRONIC EXECUTION

This Contract, including the Client/ Students Essential Terms and Conditions (together, the “Agreement”), may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same legally binding Contract between the parties. EasyApply may execute this Contract by handwritten or electronic signature. The Client shall execute this Contract by selecting “I AGREE” on the Consultancy Service Contract Link provided.

The execution and delivery of this Contract by electronic means, including the Client’s selection of “I AGREE,” shall be valid, binding, and enforceable to the same extent as if executed by handwritten signature.

20. EXECUTION

This Contract is executed by EasyApply and shall become effective and legally binding upon the Client’s electronic acceptance in the manner set out below.

The Client shall indicate signing and acceptance of this Contract by selecting “I AGREE” on the Consultancy Service Contract Link provided.

By selecting “I AGREE,” you (“the Client”) confirm that you have read, understood, and agreed to be legally bound by the terms and conditions of this Contract. Your selection of “I AGREE” constitutes your electronic signature and shall have the same legal effect, validity, and enforceability as a handwritten signature for all purposes.
